General Terms

This Sales and Service Agreement is between () henceforth referred to as “Client” and Ascend SEO Marketing, LLC. (ASM). The undersigned agrees to, and hereby acknowledges, receipt of the TERMS OF THIS AGREEMENT found in the subsequent pages of this document and is acting on behalf of their organization or business. By signing this agreement, the undersigned guarantees that they are authorized to bind the organization or business, and personally guarantees payment for products or services rendered by ASM as detailed in this agreement.

Marketing Services

Thank you for choosing Ascend SEO Marketing for your digital marketing needs! We will work our hardest to get your website ranked on major search engines and increase your revenues! It is commonly understood that the listings in search engines change constantly based on a multitude of factors, and therefore your rankings may not be consistent from day to day, however, we will put forth our best efforts to get your site to the first page of search engines and keep it there. In order to get you, the customer, the best results for your money your keywords must be specific to your products and services and you must identify all geographical locations specifically served by your company, any untimely delay in requested information or approval of work may negatively impact or hamper our efforts to market your organization at the best of our abilities.


No guarantees, warrantees, promises, etc. whether expressed or implied are made by Ascend SEO Marketing, LLC. as to specific results from SEO services.


As a client you must understand and acknowledge the following:

  • The customer understands that successful SEO requires an average of 6-10 months from website launch to start ranking with the search engines.


  • Any key words or phrases deemed less effective will be discussed with you and a mutual agreement will be reached for possible substitutions before setup is complete.


  • Your website must be live and active at the domain name specified on the service agreement and at www.[yourdomain].[tid] when the search engine spiders attempt to crawl your website.


  • You agree to allow us to make all necessary changes within reason to your website which is deemed required for successful placement.


  • Once initial set up has been completed and process initiated, you must consult with us about changes you wish to make. These changes include content addition and removal, links, and content.


  • We cannot be held liable if your site gets penalized for any reason related to 3rd party plugins installed on your site.


  • We always strive to perform best practices in all web work we do in promoting our client’s websites. In the event that you are unhappy or dissatisfied with any aspect of ASM’s performance, you agree to contact your sales partner or design manager first to address those concerns.


  • We cannot and do not promise first page rankings for any specific keywords but do our best to gain rankings for our clients and to positively increase their web traffic.


  • You give us permission to promote your site and business name in a broad spectrum of activities across the web.


  • You understand that marketing in essence is precision guess work. ASM offers opportunity exploration and capitalization based on recommendations made by us based on marketing experience and previous results, not future guaranteed results.

This is a Month-to-month (MtM) agreement, MtM payments will be made at the beginning of the month services are rendered. In the event that terms are no longer satisfied, rates will resume at the current advertised rate at the time of recalculation. Please refer to your agreed upon quote for the breakdown of all monthly fees and discounts.

Special Instructions

Initial payment is due in full upon signing this agreement. Ascend SEO Marketing will continue to charge the agreed upon monthly service fees for active accounts until 30 days after a written cancellation request is received by ASM. Client acknowledges that they are willfully entering into this contract.


If services are deactivated due to non-payment or past due payment, a $50.00 fee will be assessed for service reactivation. This agreement becomes effective when signed by the client. Amounts not paid within 15 days of the due date will be assessed an additional cost calculated at 15% of monthly service fee. Ascend SEO Marketing reserves the right to remove web pages, links, and all other works for which this agreement has been entered from viewing until final payment is made. In case collection proves necessary, the client agrees to pay all costs incurred, including overtime at time and ½ of the hourly rate of $150.00/hr., attorney fees, court costs, and all other collection costs arising from any attempt to collect unpaid monies owed to Ascend SEO Marketing. All returned checks will be assessed a minimum $25.00 returned check fee.


The client represents to Ascend SEO Marketing and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Ascend SEO Marketing for inclusion in web pages are owned by the client, or that the client has received permission from the copyright owner to use each of these elements. The client will hold harmless, protect, indemnify, and defend Ascend SEO Marketing and its subcontractors from any claim or suit arising from the use of elements furnished by the client. Ascend SEO Marketing reserves the right to assign subcontractors to this project to ensure the right fit for the job as well as on-time completion. Client will not incur any additional charges due to such process.


The laws of the State of Georgia shall be the enforcing laws for this agreement. The State of Georgia will be the venue for all litigation and/or arbitration. The agreement contained in this “Ascend SEO Sales and Services Agreement” constitutes the entire agreement between Ascend SEO Marketing and the client regarding this service regardless of any promises made by sales associates or other representatives of Ascend SEO Marketing. Any additional work not specified in this service agreement will require a new sales agreement or an addendum to this original agreement. In the event upgrades or new products are requested by the client, one-time setup fees will be recalculated as the difference between applicable initial fees paid and upgraded fees requested; monthly fees specified in this service agreement will be honored for thirty (30) days from enrollment date, after 30 days have elapsed any increased monthly fees for services selected by the client will become effective.

IF ANY SECTION OF THIS AGREEMENT SHALL BE DEEMED UNLAWFUL SUCH SECTION SHALL BE CONSIDERED OMITTED, AND ALL OTHER SECTIONS SHALL REMAIN BINDING AND IN FULL FORCE.


IN WITNESS WHEREOF, the parties hereto have caused this Service Agreement to be effective as of the day, month and year of this signature.
